Terms of Service

1. Acceptance of Terms

By engaging Efficient Legal for technology consulting services, you agree to these Terms of Service. These terms govern the relationship between Efficient Legal ("we," "us," or "our") and the law firm or individual ("Client") accessing our services.

2. Services

Efficient Legal provides legal technology consulting services including, but not limited to, practice management software migrations, platform assessments, workflow analysis, and technology integration advisory. The specific scope of services for each engagement is defined in a separate statement of work.

3. Client Obligations

Clients are responsible for: (a) providing timely access to systems, data, and personnel necessary for service delivery; (b) maintaining appropriate data backups prior to any migration activity; (c) designating a primary point of contact with authority to make project decisions; (d) providing accurate information about their current technology environment.

4. Intellectual Property

All methodologies, tools, and processes developed or owned by Efficient Legal remain our intellectual property. Client data remains the property of the Client at all times. Any custom documentation, configurations, or deliverables created specifically for a Client engagement become the property of that Client upon full payment.

5. Confidentiality

We treat all client data, system configurations, and business information as strictly confidential. We do not disclose client information to third parties except where required by law or with explicit written consent. This obligation survives termination of the engagement.

6. Limitation of Liability

Our liability for any claim arising from services is limited to the fees paid by the Client for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or data loss resulting from causes beyond our reasonable control.

7. Dispute Resolution

Any disputes arising under these terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable rules. These terms are governed by the laws of the jurisdiction in which Efficient Legal operates.

8. Changes to Terms

We may update these terms periodically. Continued engagement with our services following notice of changes constitutes acceptance of the revised terms.
